Terms of Service

1. Acceptance of Terms

By accessing or using the website edstudio.app and any subdomains, or any services provided by Edstudio Solution (“Edstudio,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our website or services.

2. Description of Services

Edstudio provides software development, design, and consulting services. The specific scope, deliverables, timeline, and fees for any project will be outlined in a separate written agreement or statement of work between Edstudio and the client.

3. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in the deliverables created by Edstudio for a client shall be transferred to the client upon full payment for such deliverables.

Edstudio retains the right to use general knowledge, skills, and experience acquired during the course of any project. Edstudio may also use non-proprietary tools, libraries, and frameworks developed during projects for future work.

All content on this website — including text, graphics, logos, and design — is the property of Edstudio Solution and is protected by applicable intellectual property laws.

4. Client Responsibilities

Clients agree to:

  • Provide timely feedback, approvals, and materials necessary for project completion
  • Designate a point of contact for communications during the project
  • Ensure they have the necessary rights to any content or materials they provide to Edstudio

5. Payment Terms

Payment terms for services will be specified in the project agreement or statement of work. Unless otherwise stated, invoices are due within 15 days of the invoice date. Late payments may incur additional fees.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of a project. This obligation survives the termination of the agreement for a period of three (3) years.

7. Limitation of Liability

To the maximum extent permitted by law, Edstudio Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with the services provided.

Our total liability for any claim arising from our services shall not exceed the total fees paid by the client to Edstudio for the specific project giving rise to the claim in the twelve (12) months preceding the claim.

8. Warranty Disclaimer

Our services are provided “as is” and “as available” without any warranty of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

9. Termination

Either party may terminate a project agreement with written notice if the other party materially breaches the agreement and fails to cure such breach within thirty (30) days of receiving notice. Upon termination, the client shall pay for all work completed up to the date of termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if unsuccessful, through binding arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this website. Your continued use of our website or services after changes are posted constitutes acceptance of the modified Terms.
